Structure
JSC “Kelių priežiūra” is fully owned by the Lithuanian State, which holds 100% of its shares. The Ministry of Transport and Communications of the Republic of Lithuania exercises the rights and duties of a shareholder and takes key decisions regarding the company's activities and ownership. The company's governance structure and model were based on the most advanced international and national best governance practices.
The management of JSC “Kelių priežiūra” is organised in accordance with the legal acts of the Republic of Lithuania regulating the management of companies, including state-owned companies, and EU law. The Company is guided in its activities by the Law on Joint Stock Companies, the Company's Articles of Association, decisions of the Company's organs and other legal acts of the Republic of Lithuania regulating the activities of companies.
The Company's Articles of Association are the main document guiding the Company's activities. Pursuant to the Law on Joint Stock Companies, the Articles of Association are amended by a decision of the sole shareholder, the Ministry of Transport and Communications of the Republic of Lithuania.
